Gnammus Certified Business Terms of Use

Last updated: 21 October 2026

Preamble

These Gnammus Certified Business Terms of Use ("Conditions") govern the purchase and use of paid services by Users of Gnammus Certified Business. These Conditions apply to all Users who have purchased the services and constitute an Appendix to the Gnammus Terms and Conditions, hereinafter the "General Terms".

Matters not expressly governed by these Conditions are governed by the General Terms.

Gnammus is a service of:

RTLP S.r.l. — Corte dei Mesagnesi 30 — 73100 Lecce (LE) — Italia

VAT number and tax code: 02683850743 — REA: LE-361688

Art. 1 — Definitions

1.1. For the purposes of these Conditions, the definitions set out in Art. 1 of the General Terms apply. In addition, the following definitions apply.

a. Business Profile. A page or space on the Platform representing a business, which is owned by a User (holder of a basic account) and the use of which may be delegated by the User to one or more other users through the delegation tools provided by the Platform.

b. Gnammus Certification (or "Gnammus Certified"). An automatically renewing subscription service purchased by the User on the Platform which makes it possible to verify the actual existence, identity and ownership of the requesting User in relation to the Business Profile for which it is requested, and to access a range of dedicated services. Among other things, this service includes the award of a verification badge to be displayed on the Platform and access to additional features.

c. Subscription. The contract for periodic performance, with a monthly or annual term according to the plan chosen by the User, by which the User purchases the Gnammus Certification for a given Business Profile and the related services, against payment of the applicable fee. The Subscription is concluded subject to the condition precedent of the successful completion of the verification process referred to in Art. 3 and takes effect from the Activation Date. It renews automatically on the Renewal Date as provided for in Art. 4, unless cancelled pursuant to Art. 6.1.

d. Certification Request. The request by which the User, meeting the requirements set out in Art. 2.3, selects the subscription plan, provides the information requested and authorises the charging of the fee as provided for in Art. 2.5. The Certification Request does not entail any charge, does not confer the verification badge and does not give rise to the provision of the related services.

e. Activation Date. The date on which the Subscription takes effect, as a result of the successful completion of the verification process referred to in Art. 3 and the successful charging of the fee. From that date, the verification badge and the related services are conferred, the invoice is issued and the term of the Subscription is calculated.

f. Renewal Date. The date on which the Subscription is automatically renewed (monthly or annually), calculated from the Activation Date and falling on the same day of the corresponding month or year.

Art. 2 — Intended users, prerequisites and purchase

2.1. Intended users of the service. The Gnammus Certified Business services are reserved to Users acting in the exercise of their trade, business, craft or profession who hold a VAT number or an equivalent tax identifier in their country. The service is not directed at Consumers and may not be purchased for purposes unrelated to the activity carried out. Accordingly, the provisions of the General Terms applicable only to Consumers do not apply to these Conditions.

2.2. Stages. The purchase of the Gnammus Certified Business services comprises the following stages: the Certification Request, by which the User provides the information requested and authorises the charge; the verification process of the Business Profile referred to in Art. 3; and, if successful, the charging of the fee and the activation of the services on the Activation Date. The fee is not charged before the successful completion of the verification process.

2.3. In order to submit the Certification Request, the User's Business Profile must meet the following minimum requirements:

  • the Business Profile must be complete, with all sections filled in;
  • the Business Profile must have a profile picture;
  • the status of the Business Profile must be "Visible";
  • the Business Profile must be located in a country in which the Gnammus Certified service is available.

The Platform prevents the submission of the Certification Request where any of the requirements is not met, indicating to the User which requirement is missing.

2.4. By submitting the Certification Request, the User accepts these Conditions and undertakes to provide the legal, tax and contact information that the Platform will request during the verification process.

2.5. Authorisation of the charge and acceptance for processing. By submitting the Certification Request, the User authorises RTLP to charge the fee for the chosen plan to the payment method indicated, with effect deferred until the successful completion of the verification process. The authorisation is obtained through the payment service provider indicated in the Gnammus Privacy Policy by means of a pre-authorisation of the amount, which does not constitute a charge.

The Certification Request is accepted for processing, and the verification process begins, when the information requested is complete and the authorisation of the charge has been given. If either condition is not met, the Certification Request is not accepted for processing, the verification process does not begin and no charge is made; the User is informed accordingly and may submit a new Certification Request.

Art. 3 — Verification process

3.1. Subject matter and time limit. The Gnammus Certification involves a process for verifying the identity of the User and the User's ownership of the Business Profile. The process is completed within 7 calendar days from the acceptance for processing of the Certification Request pursuant to Art. 2.5. The consequences of the expiry of the time limit are governed by Art. 5.4.

3.2. Verification methods. RTLP determines from time to time, at its own discretion and depending on the information available and the country of the business, the verification method or methods to be used from among those listed below; the list does not entitle the User to require the use of any particular method. RTLP may entrust the verification process to third-party providers among those indicated in the Gnammus Privacy Policy. During the verification process, the User may therefore be required to:

  • enter or confirm the business contact details associated with the Business Profile;
  • upload business documents (such as an extract from the companies register (visura camerale), a VAT registration certificate or equivalent documents in the relevant country);
  • upload an official identity document of the legal representative;
  • complete a verification by means of an OTP code sent to the certified business contact details;
  • complete a video identification conducted by an operator;
  • complete a domain verification (by means of a DNS record, verification file or meta tag).

3.3. The provision by the User of false, misleading or inaccurate information results in the disabling of the verification badge and may result in the suspension of the account pursuant to the General Terms.

3.4. The processing of personal data in connection with the verification process, including the retention of the documents acquired, is governed by Art. 14 of the Gnammus Privacy Policy.

3.5. Publication of certification details. The successful completion of the verification results in the award of the verification badge and the publication, on the Business Profile, of the certification details, which may be consulted by anyone accessing the Business Profile, including without an account. Those details comprise:

  • an indication that certification has been obtained;
  • the legal name of the business, as resulting from the verification;
  • the VAT number or equivalent tax identifier;
  • the Activation Date of the current Subscription, which remains unchanged upon renewal.

3.6. The publication referred to in Art. 3.5 constitutes the very subject matter of the service purchased and its essential function, since the Gnammus Certification consists in making the identity of the business represented by the Business Profile publicly verifiable. The User acknowledges and agrees to such publication by taking out the Subscription; no further authorisation is therefore required. Publication ceases upon termination of the certification service pursuant to Art. 6. A Gnammus Certification purchased after such termination constitutes a new Subscription and shows the corresponding Activation Date.

3.7. The User warrants that they are entitled to make public the information referred to in Art. 3.5 with regard to the business represented, including for the purposes of Art. 8 concerning representatives of third parties.

Art. 4 — Fees and renewal

4.1. The Subscription renews automatically on the Renewal Date (monthly or annually, depending on the plan chosen), calculated from the Activation Date. Renewals are not subject to a new verification, except as provided for in Art. 6.3 in the event of a substantial change to the Business Profile.

4.2. Service prices are displayed both exclusive and inclusive of VAT and applicable taxes. The gross amount is determined at checkout on the basis of the tax legislation in force in the User's country and the regime applicable to the transaction; where the tax is not payable by RTLP — such as in transactions subject to the reverse charge mechanism — the net amount and the gross amount are the same.

4.3. RTLP reserves the right to change the Subscription fees, giving the User reasonable notice. Changes will apply only to renewals following the notice.

4.4. The User is responsible for keeping the payment method associated with the Subscription and the Business Profile information up to date.

Art. 5 — Outcome of the verification, charging and refunds

5.1. Positive outcome. The successful completion of the verification process results in the fee being charged to the payment method authorised pursuant to Art. 2.5. Once the charge has been successfully made, the Subscription takes effect: that is the Activation Date, from which the verification badge and the related services are conferred, the term of the Subscription starts to run and the Renewal Date is calculated. The invoice is issued with reference to that same date.

5.2. Negative outcome. If the verification process is not completed successfully, the Subscription does not take effect, no charge is made and the authorisation referred to in Art. 2.5 lapses. The Gnammus Certification is not awarded and the related services are not provided. No refund is due, since no sum has been paid.

5.3. Additional documentation. Where the negative outcome is due to the insufficiency, incompleteness or illegibility of the material submitted, RTLP informs the User, indicating what needs to be supplemented. The User may either submit the material requested, in which case the time limit referred to in Art. 3.1 starts to run again for a further 7 calendar days from submission, or withdraw the Certification Request. If no response is received within 7 calendar days of RTLP's communication, the Certification Request is deemed abandoned and Art. 5.2 applies. Additional documentation may be requested more than once; RTLP may in any event conclude the process with a negative outcome if the identity or ownership cannot be established.

5.4. Expiry of the time limit. If the verification process is not completed within the time limit referred to in Art. 3.1, the process is closed with a negative outcome and Art. 5.2 applies. The User may submit a new Certification Request and may also request the review referred to in Art. 5.6.

5.5. Withdrawal of the request and unsuccessful charge. The User may withdraw the Certification Request at any time until the verification process is concluded: in that case no charge is made and the authorisation lapses. If the charge referred to in Art. 5.1 is unsuccessful, RTLP informs the User and grants them a period of 7 calendar days to provide a valid payment method, during which the positive outcome of the verification remains effective; failing this, the Certification Request is deemed abandoned and the Subscription does not take effect.

5.6. Review of a negative outcome. A User who has received a negative outcome may request a review of it within 30 days of the relevant communication, in the manner indicated therein, setting out their reasons and enclosing any evidence they consider relevant. The review is carried out by RTLP staff and is not entrusted to automated systems. RTLP communicates the outcome of the review within 10 working days of receipt of the request; if the request is upheld, the verification process continues and Art. 5.1 applies.

5.7. Non-refundability. Except as otherwise provided by applicable law, amounts paid in connection with Gnammus Certified Business are non-refundable. Where a charge has been made in breach of these Conditions, RTLP refunds the amount using the same means of payment within 14 days of the breach being established.

5.8. No right of withdrawal pending verification. Without prejudice to Art. 5.5 concerning withdrawal of the Certification Request, the User has no right of withdrawal from the Subscription either while the verification process is pending or after the Activation Date, since the service is not directed at Consumers pursuant to Art. 2.1. The right to cancel the automatic renewal pursuant to Art. 6.1 remains unaffected.

Art. 6 — Cancellation and termination of the service

6.1. The User may cancel the automatic renewal of the Subscription at any time, giving at least 1 day's notice before the Renewal Date. Cancellation of the renewal does not entail a refund for the current period.

6.2. RTLP reserves the right to disable or cancel the Gnammus Certified Business services in the event of:

  • abuse of the service or of the verification badge;
  • breach of these Conditions or of the General Terms;
  • non-payment of the Subscription;
  • a request from competent authorities;
  • measures taken against the User's account pursuant to the General Terms.

6.3. The services are cancelled automatically and with immediate effect in the following cases:

  • deletion of the User's account from the Platform;
  • deletion of the Business Profile from the Platform;
  • failure to pass the verification process referred to in Art. 3, with the effects provided for in Art. 5.2;
  • a substantial change to the Business Profile such that the verification carried out is no longer valid.

Art. 7 — Non-discrimination

7.1. The User undertakes not to use the Gnammus Certified Business services to discriminate, directly or indirectly, on the basis of ethnicity, race, national origin, gender, gender identity, sexual orientation, religion, age or disability.

Art. 8 — Representatives of third parties

8.1. A User acting as the representative of a third party (natural or legal person) represents and warrants that they are duly authorised to bind that party to these Conditions.

8.2. The representative User is jointly and severally liable with the represented party for any breach of these Conditions or of the General Terms.

Art. 9 — Communications

9.1. Communications relating to the Gnammus Certified Business services and to payments will be sent by RTLP via the Platform or to the email address associated with the User's account.

Art. 10 — Privacy

10.1. Personal data collected in the course of the Gnammus Certification process are processed in accordance with the Gnammus Privacy Policy.

Art. 11 — Amendments and cross-reference

11.1. RTLP reserves the right to amend these Conditions at any time, giving the User reasonable notice. In that case, the provisions on amendments to the Terms contained in the General Terms apply.

11.2. Matters not expressly governed by these Conditions are governed by the General Terms, including, by way of example, the provisions on governing law, jurisdiction, limitation of liability, indemnity, severability and jurisdiction-specific provisions.

Art. 12 — Specific approval

12.1. Pursuant to Arts. 1341 and 1342 of the Italian Civil Code, at the time of purchase the User specifically approves the following clauses:

  • of the General Terms: Art. 9 (limitation of liability), Art. 10 (indemnity), Art. 11.2 (suspension and discontinuation of the Service), Art. 19.2 (jurisdiction);
  • of these Conditions: Art. 4.1 (automatic renewal), Art. 5.7 (non-refundability), Art. 5.8 (exclusion of the right of withdrawal), Art. 6.2 (deactivation of the services by RTLP).
